Terms of Service

These Terms govern access to Marnis, a service for recording, connecting, and searching professional relationships: people, companies, interests, typed relationships between them, notes, interactions, and the paths between contacts derived from that data.

Marnis is operated by Denvo LLC, 1209 Mountain Road Pl NE, Ste N, Albuquerque, NM 87110, United States ("Denvo", "we", "us"). By creating an account or using Marnis you agree to these Terms, the Privacy Policy, and, where we process personal data on your behalf, the Data Processing Addendum, which forms part of these Terms.

1. Accounts and authorization

You must sign in with an authorized account and may only join a workspace you are permitted to access. You are responsible for keeping your Marnis account credentials secure.

Workspace owners are responsible for activity in their workspace, including the members they invite, the data those members enter, visibility settings, billing, and account deletion requests.

2. Acceptable use

Marnis is intended for maintaining your own professional network and the shared knowledge of your organization. You must not use Marnis to collect, store, or process personal data without a lawful basis and appropriate authorization, and you must not use it to build profiles of people beyond what your business relationship justifies.

Marnis is not a system of record for contracts, commissions, or payroll, and it is not intended for special categories of personal data under Article 9 GDPR, such as health, religious, or political data. You must not enter such data, and you must not use Marnis to evaluate, rank, or score the people in your own organization.

3. Your data, imports, and the assistant

You decide what goes into Marnis. Where you import data - for example contacts, calendar entries, mail metadata, or an export you obtained from another service - you confirm that you are entitled to do so and that the import complies with the terms of the service the data came from. We do not scrape third-party platforms on your behalf.

The assistant can read the content of your workspace that you are allowed to see, and it can propose new entries and relationships. Proposals are suggestions, not facts: they are written only after you confirm them, and every AI-generated relationship carries its source and a confidence value. The assistant cannot delete anything.

Automatically derived output, including suggested relationships and the paths between contacts, is provided to help you decide. It may be incomplete or wrong, and you remain responsible for checking it before acting on it.

4. Plans and billing

Access to Marnis is provided under the plan agreed with your workspace. Where access is currently provided free of charge, as part of an early access or evaluation arrangement, it may be limited or ended at any time with reasonable notice.

Where paid plans are offered, the price, billing interval, currency, taxes, discounts, and renewal terms presented at checkout are the ones that apply. Prices may differ by country or region; if regional pricing is obtained by misrepresenting your location (for example through a VPN or proxy), we may cancel the purchase or charge the difference to the regular price.

Except where required by applicable consumer law, payments are non-refundable and subscription periods already started are not refunded on cancellation. Where a refund is granted, it is issued to the original payment method in the currency originally charged; differences arising from exchange rates or bank fees are not compensated.

5. Availability and changes

Marnis may change features, limits, and pricing over time. We may suspend or limit access to protect the service, enforce these Terms, prevent abuse, or comply with legal requirements.

Beta or coming-soon features may be incomplete, change without notice, or require additional manual steps.

6. Account deletion and export

Workspace owners may request account deletion from settings. Deletion removes the workspace and its associated Marnis records, including entities, relationships, notes, interactions, and chats, and deletes the authenticated users belonging to it.

Before deletion you can export the data of your workspace in a machine-readable format. Individual members can export their own network when they leave.

Payment providers may retain invoices, charges, and related payment records as required for accounting, tax, fraud prevention, and legal compliance.

7. Intellectual property and license

Denvo and its licensors own Marnis, including its software, design, and documentation. We grant you a limited, non-exclusive, non-transferable right to use Marnis during your subscription for your internal business purposes. You may not resell, copy, or reverse engineer the service except where permitted by law.

You retain all rights to the data you enter and import. You grant us only the rights needed to operate the service, such as storing your content, indexing it for search, and passing the parts needed to answer a request to our model provider. We do not use your content to train models.

8. Disclaimers and liability

Marnis is provided as a tool to organize information you supply. You are responsible for the lawfulness of the data you enter, for the visibility settings you choose, for reviewing suggestions before confirming them, and for how you act on the results.

To the maximum extent permitted by law, Marnis is provided "as is" without warranties of uninterrupted operation, error-free results, or fitness for a particular use.

To the maximum extent permitted by law, Denvo is not liable for indirect, incidental, special, or consequential damages, or loss of data, profits, or revenue, and our total liability under these Terms is limited to the amounts you paid to us in the twelve months before the claim. Nothing in these Terms limits liability that cannot be limited by law, including mandatory consumer rights in your country of residence.

9. Indemnification

If you use Marnis in a business capacity, you will indemnify Denvo against third-party claims arising from your content, your imports, or your breach of these Terms, including claims that you lacked a lawful basis or authorization for the personal data you entered, except to the extent caused by our own breach of these Terms.

10. Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, USA, excluding its conflict-of-law rules. Exclusive venue for all disputes arising out of or relating to these Terms is the state and federal courts located in Bernalillo County, New Mexico, and both parties consent to personal jurisdiction there.

If you are a consumer in the EU/EEA or the UK, you keep the protection of the mandatory consumer laws of your country of residence, and this choice of law and venue does not deprive you of it.

11. Changes to these Terms

We may update these Terms as the service or legal requirements change. We will post the updated version on this page with a new "Last updated" date and, for material changes, notify you in the application or by email where appropriate. Continued use after the effective date constitutes acceptance.
